Procurement, State aid and European law

SOUND INSULATION PROJECT SCHIPHOL PHASE 2 (GIS II)

KLM and Schiphol Airport had a conflict with the Ministry of Transport, Public Works and Water Management about the costs of the Sound Insulation Project Schiphol GIS II and GIS III. Boot Advocaten provided legal assistance to KLM and Schiphol Airport in this matter. The GIS project includes the insulation of approximately 14,000 homes around Schiphol in order to reduce noise nuisance. Rijkswaterstaat passes on the costs of this project to the airlines. The Luchthaven Schiphol N.V. handles the administrative settlement of the charges imposed on them. The project was hit by major delays and massive cost overruns. So until then only approx. 7,700 homes were insulated and the costs of GIS II rose from 180 million euros to 396 million euros in the period 1995-2003.

The most important achievement in this case is that in three months time Boot Advocaten, in collaboration with technical experts, produced a report revealing the causes of the cost increases. Based on this report, the former State Secretary Melanie Schultz ordered the Court of Audit to conduct an investigation. Boot Advocaten then assisted Schiphol Airport in drafting comments on the draft memorandum of findings and the draft final report GIS II of the Court of Audit.

 

One of the conclusions of Boot Advocaten's report was that the government acted contrary to European procurement rules and entered into new contracts with contractors and consultants, which caused a large part of the cost increase. The legal services also consisted of drawing up and elaborating models for possible public-private partnerships between the government and the aviation sector. Boot Advocaten's advice  contributed greatly to the fact that the State has now reduced the bill for the sector by 110 million euros. There is also a proposed amendment to Article 77 of the Aviation Act, which should still provide a legal basis.

 

MUNICIPALITY OF TILBURG/RAIL ZONE

Boot Advocaten supervised the tender and the contracting after the tender of  masterplan “De Werkplaats”. This plan forms the basis for the Spoorzone core area. The basic program offers a minimum of 220,000m² of development, which can be divided into 150,000m² of living, 25,000m² of work, 20,000m² of catering and culture, 10,000m² or possibly 60,000m² of education, 10,000m² of commercial facilities and 5,000m² of other facilities. In the coming years it will be redeveloped into a high-quality central urban location with homes, offices and educational, cultural and leisure facilities. Through a tender process, a developer was selected as a partner in 2010 to work with the Municipality of Tilburg to develop a Master Plan for the area. The selection and award criteria were innovative and led to a successful procurement of a large-scale area development.

In the context of the crisis, the winner could no longer meet its obligations. Boot Advocaten assisted the municipality in the renegotiations. Within the scope of the tender and the associated contracts, new conditions were set and further agreements were made. Boot Advocaten advised the municipality on the land transactions and the further content of the cooperation agreement. Boot Advocaten connected and coordinated the tax specialists, land price experts and responsible department heads with the market party based on the A-team concept. Boot also advised on the large-scale heat/cold storage to be realized in the area.

GEMEENTELIJK VERVOERSBEDRIJF AMSTERDAM/MULTI-YEAR REPLACEMENT PLAN

Boot Advocaten was involved in supervising the implementation of the Long-Term Replacement Plan consisting of the renewal of tracks, switches, crossings, telecommunications and energy supply on the Amsterdam metro track on behalf of Gemeentelijk Vervoersbedrijf Amsterdam. This project did not only require specific knowledge about procurement law and construction law, but it also required knowledge of the technique of railway switches, switch steller, etc. .

 

HOUSING FOUNDATION VOORUITGANG/PROJECT SASSEMBOURG

The housing foundation was advised and supervised by Boot Advocaten in the Sassembourg project. This residential care project consisted of the realization of 91 rental and owner-occupied homes, a parking garage and the construction and/or operation of the ATES. The area covers approximately 5,400m² GFA. Boot Advocaten assisted the housing association in the tender  and the contracting of the project. Heat and cold are supplied by a thermal storage system. Boot Advocaten supervised the tendering process and drew up the DBFMO contracts for operation for a period of 30 years.

 

MUNICIPALITY OF VEENENDAAL – PROJECT BROUWERSPOORT

Boot Advocaten provided the  legal guidance and coordination of one of the larger redevelopments of a city center in the Netherlands: Centrumplan Brouwerspoort in Veenendaal. The municipality of Veenendaal has far-reaching ambitions to transform the city center with a rich industrial past and associated industrial heritage into a modern shopping area with a regional function over the next ten years. The plan includes more than five hundred homes, more than 1700 indoor and external parking spaces, 4600 m2 of retail, 6200 m2 of services, 19,140 m2 of municipal services and cultural facilities, 800 m2 of catering, and 6000 m2 of furniture showrooms. Within the planning area, various developing and building market parties, in addition to the municipality, have taken up land positions with sometimes conflicting interests.

Boot Advocaten supervised the tendering process for the area development and assisted in the negotiations regarding the conclusion of cooperation agreements with developers and contractors, land allocation agreements, and purchase agreements, as well as the termination of cooperation agreements, land allocation agreements and purchase agreements. Boot Advocaten is also involved in administrative procedures.

Commercial interests must be aligned with political-administrative interests and decision-making. In a complex center development, it is important to deploy, coordinate and monitor the right expertise  efficiently. Knowledge of administrative law, procurement regulations, state aid, taxation and of course private law aspects is required. But expertise such as financial analysts, land exploitation experts and parking garage experts are also required. Within this dynamic, Boot forms a coordinating pivotal function.  

 

MUNICIPALITY OF THE HAGUE/RANDSTADSTRAIL

Boot Advocaten assisted the Municipality of The Hague in the realization of the Randstad Rail, with regard to awarding, contract variations, delays and delivery issues. In addition, the tender was not allowed to jeopardize the (tight) planning, which was achieved through good cooperation with specifiers, contractors and various services.

SEAPORT KATWIJK

Advising on the possibilities of realization within the framework of both European and Dutch law. The seabed could be sprayed into newly reclaimed land. This could be sold to developers in parts. For the time being, the project is not being implemented.

 

SUSTAINABLE LIGHTING CITY HALL THE HAGUE

Boot Advocaten conducted summary proceedings on behalf of an installer about the award of a sustainable lighting project in the town hall.

 

HOSPITAL  LIMBURG

An Energy Service Company was assisted by Boot Advocaten in tendering for a thermal energy storage system for a hospital. An innovative form of cooperation, an energy cooperative, was established for this successful tender.

 

MUNICIPALITY OF ZANDVOORT/LOUIS DAVIDSCARRÉ

Boot Advocaten supervised the tender of  the area development. It involved the design and realization of a public sunken parking garage with construction and design of public spaces. The buildings include a Community School with educational functions of a public and a special primary school with an extra room, a children's centre, two playgroups, a public library, Zandvoort care desk, socio-cultural areas, a sports hall, various communal areas and the design of a (semi-)public space on the parking roof. In addition to commercial spaces, approximately 170 owner-occupied and rental homes are being built in various market segments.

Boot Advocaten also advised on the parallel tender for the realization and management of alternative energy supply. The activities  consisted of drawing up selection and award guidelines, drawing up a DBFM agreement, assessing the tenders, motivating the rejection letters, advising on the bankruptcy of the energy supplier, as well as advising on administrative law issues, including an environmental permit, withdrawal permit etc.

CONSTRUCTION OF NEW SWIMMING POOL STEINERBOS IN STEIN

The project concerns the realization of a new indoor swimming pool (± 2,600 m²) with three basins and the technical installation connection, including all associated activities of the outdoor swimming pool consisting of two basins in the Steinerbos in Stein (Limburg). The water surface of the outdoor pools is approximately 1,600m². Boot Advocaten advised SPIE Nederland BV in this tender procedure.

NITROGEN BUFFER HEILIGERLEE

Boot Advocaten drew up an EPC contract, based on FIDIC Silver Book, for the engineering and realization of an important part of the Heiligerlee nitrogen buffer project. The Joint Venture required for this has been selected on the basis of a European tendering procedure. Boot Advocaten supervised the registration, contracting and provided contract management. The project involved the production and storage of gaseous nitrogen in an (existing) salt cavern. In a mixing station, the nitrogen extracted from the cavern is mixed with high-calorific gas to produce gas that is suitable for Dutch households. The cavern serves as a buffer storage.

GAS TREATMENT PLANT EMMEN

Contracting strateg and drawing up tender documents for several inspection/maintenance stops at the gas purification plant in Emmen.

 

JOINT VENTURE TRANSPORT COMPANIES

Advising in the context of procurement law on a proposed joint venture between the largest transport companies in the Netherlands and Belgium.

NEW OFFICE AND STUDIO NOS RADIO AND TELEVISION

Preselection of contractors and installers for a new office and studio building for NOS Radio and Television in Hilversum.

REPLACEMENT TRAM LINE UTRECHT CS-NIEUWEGEIN

Vossloh was not awarded the tender for the replacement of the Utrecht CS tram line to Nieuwegein by the Utrecht regional governance. Vossloh appealed against this in preliminary relief proceedings and Boot Advocaten assisted her in this.

GREEN BUSINESS

Boot Advocaten represented a landscaping company in summary proceedings against the municipality of Arnhem, in which the company challenged the rejection of its tender for green maintenance. The provisional relief judge of the Arnhem District Court ruled in favor of the company: LJN: BW6167.

CONVERTING FORTIS BANKING OFFICES TO DIRECT SERVICE

Pre-selection and drafting of contract documents for the executing parties for the conversion of approximately 150 bank branches into 'DirectService' branches.

 

MAINTENANCE AGREEMENT FOR MILITARY COMPPLEXES AND TRAINING AREAS

Advising and supervising the tendering of green maintenance agreements for all military complexes and training grounds in the region of North and South Holland and Utrecht as well as the drawing up of framework contracts for forestry and wildlife management (UAV-GC). Handling tender and implementation disputes.

 

MUNICIPALITY OF EEMNES/PROJECT ZUIDPOLDER

Boot Advocaten assisted the municipality in the tendering process for a large-scale PPP area development of 38 hectares in the Zuidpolder planning area in Eemnes. 500 homes, 4 hectares of industrial estate, approximately 3,500m² of facilities (school with reception and care facilities) and a green buffer zone will be realized in the area.

The land is owned by the municipality, as well as by project developers and private individuals. In order to centralize these fragmented land holdings, Boot Advocaten supervised the necessary land transactions.

TECHNICAL INSTALLATIONS ERASMUS UNIVERSITY ROTTERDAM

Boot Advocaten drew up pre-selection and tender documents as well as framework contracts for the implementing parties for the maintenance of the technical installations of all university buildings.

MUNICIPALITY OF HAARLEMMERMEER/PROJECT PARK 20/20

Boot Advocaten assisted the municipality with the tender for the Park 20/20 project. This will be an innovative, ecological and sustainable office park in Hoofddorp. The application of recyclable building materials, the application of solar and wind energy, water purification and energy from waste and advanced technology using heat and cold storage form a solid basis at Park 20/20, whereby the most optimal solutions are continuously sought within the framework of corporate social responsibility.

PROVINCE OF NOORD BRABANT/RESTRUCTURING BUSINESS AREAS

The supervision of the Board of the Provincial Executive of the Province of Noord Brabant for the realization of a fund aimed at the restructuring of industrial estates within the province.

 

MUNICIPALITY OF HAARLEMMERMEER/CULTURE CENTER HOOFDDORP

Boot Advocaten integrated contracting and tendering with the construction process on this project through close cooperation with construction consultants who also contributed to further cost control.

The "Cultuurcentrum Hoofddorp" project concerns the engineering and realization at various locations of Schouwburg de Meerse, Pier K (center for arts education), Center for Pop and Youth Culture (in development), public library, cultural café and finally joint facilities (passage).

MUNICIPALITY OF PIJNACKER – NOOTDORP/BOEZEM II

Boot Advocaten assisted the municipality of Pijnacker-Nootdorp in the development of the new Boezem II business park. Boot Advocaten advised the municipality on the WKO facility and the infrastructure to be constructed in the field of procurement law, administrative law and contract law, and with regard to allotment and land allocation in the field of contract law.

MUNICIPALITY OF ROTTERDAM/PROJECT “ROTTERDAM CENTRAL DISTRICT”

In the context of contract formation, the municipality was advised on a full-service basis in the field of contract law, procurement law and taxation, as well as in the field of spatial planning. Finally, in the context of this project, the municipality was legally assisted.  the redevelopment of the Schiekadeblok in Rotterdam Central District. 

MUNICIPALITY OF TILBURG/VORMENFABRIEK

Boot Advocaten advised and assisted the municipality in the proposed redevelopment and land allocation of the Vormenfabriek area. The land allocation was also tested for procurement law aspects. The location will be redeveloped and will be used for residential purposes.

MUNICIPALITY OF WIJDEMEREN – OUD LOOSDRECHT VILLAGE CENTER

Boot Advocaten advised the municipality to redevelop this project and to let the assignment take place in smaller transactions, while also paying attention to European regulations, including procurement law and state aid.

 

MUNICIPALITY OF KAMPEN/ARCHITECT SELECTIONS

Assisting the municipality of Kampen in the tendering of an architect selection for the development and realization of government buildings. Selection guidelines and assessment matrices were drawn up for these European tenders.

Boot Advocaten supervised the tendering, cooperation and realization agreements and the land transactions regarding the  integrated building complex that is being developed in collaboration by means of a municipal land allocation by the municipality of Zwolle and Multi Vastgoed BV. It consists of a car park with 840 spaces, shops and a cinema with public space and adjacent approximately fifty homes to be built.

MUNICIPAL HENDRIK IDO AMBACHT/ARCHITECTS SELECTIONS

Supervising the municipality of Hendrik Ido Ambacht in the tender of an architect selection for the development and realization of government buildings. Selection guidelines, assessment matrices and advertisements were drawn up for these European tenders.

MUNICIPALITY OF WIERINGERMEER/METAPHOR WIRINGHERLANT

Guiding the project office and external consultants of the municipality in the  European tender procedure and the contracting for a mix of public and commercial facilities, including a community school, a theater, a swimming pool, infrastructure, 500 homes and other commercial facilities.

Advice on the development model to be chosen: land allocation model or joint land exploitation company. SENNEMA LOCATION WINSUM

Boot Advocaten represents developer Montagne in court in a dispute with the municipality regarding valuation discussions, purchase and contracting about the development of the Sennema location, a project in the center of the municipality of Winsum. The municipality stated that it no longer had to comply with the agreement due to a violation of European law. Granting a building claim, swapping land, covering an unprofitable top and granting Dubo subsidies would constitute prohibited state aid and would be in violation of the procurement rules. The purchase of the parking garage would also not be based on market prices.

Boot Advocaten convinced Hof Leeuwarden that there was no state aid. Due to the thorough calculations of Boot Advocaten, the municipality was unable to prove that it was right. The difference between winning and losing was made, because Boot Advocaten immerses itself substantively in the technology and in the figures. The ruling is now important case law for municipalities and developers, because the Court clearly indicates how it thinks about state aid and where the burden of proof lies.

PIET HEIN BUILDINGS AMSTERDAM

Boot Advocaten assisted the owner of the Piet Hein Buildings in a dispute with the municipality about the purchase of land for the new building of the head office of an energy company.

PLAN JAAGPAD OOST KANAALOEVER ALKMAAR 

Boot Advocaten assisted and advised PRN, a project developer with a large land position along the Noord Hollands Canal in Alkmaar. On behalf of the developer, Boot Advocaten conducted the negotiations and discussions with the municipality and other parties involved, focusing on contracting in which various administrative, procurement law, legal and tax aspects played a role.

PROJECT ORANJEBUURT SASSENHEIM

Boot Advocaten has been acting as an advisor to De Vooringang (housing corporation) for years in the development and realization of the Oranjebuurt in Sassenheim (ca.  250 owner-occupied and rental properties). The Oranjebuurt project in Sassenheim has been designated as the exemplary project in housing association land by the Minister of Housing, Spatial Planning and the Environment. For this prestigious project development, Boot Advocaten set up and successfully executed the Tender Procedure and drew up the necessary legal and fiscal integrated agreements. 

PROJECT SASSEMBOURG

Boot Advocaten advised and assisted housing corporation De Vooruitgang in the tendering and contracting of the Sassembourg project. This residential care project consists of the realization of 91 rental and owner-occupied homes, a parking garage and the construction and/or operation of the ATES. Heat and cold are supplied by a thermal storage system. Boot Advocaten supervised the tender and drew up the DBFMO contracts , which properly regulate both the realization of the ATES and the operation for 30 years. 

SQUARE SINT JEROENSWEG NOORDWIJK

Boot Advocaten is assisting the Noordwijk housing association with the tendering, land, realization and purchase agreements for a housing project with approximately 51 homes and an underground parking basement with approximately 70 parking spaces.

PUBLIC AREAS LELYSTAD

Boot Advocaten advises the housing association on the redevelopment in Lelystad on the basis of a public-private framework agreement with the municipality with a term of thirty years. Based on this framework agreement, various large residential areas and public areas of Lelystad (Schouw, Kogge, Punter, etc.) are being completely redeveloped. Asbestos removal from post-war homes is also taking place in one of these neighbourhoods.

PROJECT WESTFLANK  HAARLEMMERMEER

Boot Advocaten conducted negotiations with the various authorities involved and other stakeholders in the planning area on behalf of housing corporation De Vooruitgang. These negotiations were about the purchase and sale of land positions, the land exploitation, the development claims and the strategy to be pursued towards the public authorities based on procurement law and administrative law(zoning procedure, structural vision).

VICTORSCHOOL-PUYCKENDAM NOORDWIJK

Boot Advocaten advised the Housing Association on the redevelopment of Complex Victorschool-Puyckendam in Noordwijkerhout, which will include a 20-class school, 126 apartments and a facility for people with dementia.

Boot Advocaten mapped out the procurement law aspects, state aid aspects and tax aspects.

PROJECT STERRENBAD WASSENAAR

Boot Advocaten advised the Wassenaarsche Bouwstichting on the sale and realization of a new construction plan for the location of the former Sterrenbad in Wassenaar. Boot Advocaten supports the foundation in the negotiations with the municipality about the land transaction and the new buildings.

PROJECT ZIJDERVELD

Boot Advocaten assisted Volksbelang with the contracting, including the letter of intent and cooperation agreement and the land allocation agreements for 31 homes, 12 care homes, and the development of a multifunctional space in the village center of Zijderveld in the municipality of Vianen.

TEYLINGEN

Boot Advocaten advised two housing corporations in the municipality of Teylingen on collaborations with VROM, the municipality and private parties. Area development mainly includes the construction of owner-occupied and rental homes and care facilities. The expected investment until 2012 is € 216,000,000. Boot Advocaten was involved in the ongoing purchase and sale of land positions, the legal and fiscal structuring of the various partnerships, administrative law issues and legal issues surrounding land exploitation.

TILBURG NOORD

Advising housing associations in Tilburg on the design of a public-private partnership that serves as a model for the total redevelopment of Tilburg-Noord. Sub-projects also involved collaboration with project developers, investors and chain stores.

ST JORISWEG DELFT

Boot Advocaten advised GGZ Delfland on the relocation of buildings and new construction with 140 places at the St. Jorisweg location in Delft. A completely new clinic with a floor area of 8,858 m² was built on the grounds of GGZ Delfland on St. Jorisweg in Delft. This project was built sustainably and uses energy-efficient installations. Boot Advocaten advised GGZ Delfland on the realization of this project.

PIETER VAN FOREEST – PROJECTS

The Pieter van Foreest Healthcare Institutions Foundation operates 23 locations of independent residential units, residential care centres, nursing meeting centers and nursing homes for the elderly in the Randstad area. Boot Advocaten assisted the foundation in, among other things, the completion of residential care complex De Witte Brug in Poeldijk, a public law procedure in the municipality of Pijnacker and the municipality of Teylingen and a tender for a project in Naaldwijk.
